    Version: 2026

    Art. 1. — CONTRACT DURATION

The contract is entered into for an initial trial period of three (3) months.

In the absence of written termination before the expiry of this period, the contract will be automatically renewed for a period of twelve (12) months, tacitly renewable.

The trial period does not affect services already performed and billable.

Art. 2. — QUOTES AND ESTIMATES

Quotes and estimates from Cleanset SRL are valid for eight (8) calendar days unless otherwise stated in writing.

Quotes are established based on information provided by the Client and conditions observed during the site visit.

Each quote expressly states the included services, excluded works and applicable rates. Verbal additions, WhatsApp messages or work habits do not automatically modify the contractual scope.

The validity of the quote is conditional on the accuracy and completeness of information provided by the Client.

Art. 3. — SITE ASSESSMENT AND SCOPE OF SERVICES

Only services expressly included in the quote, site assessment or written descriptions are covered by the agreed price.

The site assessment, signed by the Client, serves as binding evidence of the initial condition of the premises and the agreed scope of services.

Any additional service may be performed on a time-and-materials basis at Cleanset SRL's applicable hourly rate.

Any substantial modification requires prior written agreement.

The Client acknowledges that the level of cleanliness depends on: intervention time, frequency, occupancy of the premises, initial level of soiling and agreed budget.

Art. 4. — NOTICE AND TERMINATION

Any termination must be made by registered letter or email with read receipt, with a minimum notice period of three (3) weeks.

During this period, all scheduled services remain executable and billable.

The Client acknowledges that any unilateral suspension of services without prior written agreement from Cleanset SRL constitutes a culpable breach of contract.

Repeated refusal of access or repeated cancellation of planned services will be treated as early termination attributable to the Client.

Minor operational difficulties, subjective differences of opinion, occasional oversights, reasonable delays or temporary staffing issues cannot be considered as serious misconduct justifying immediate termination.

Art. 5. — INVOICING AND PAYMENT TERMS

Invoices issued by Cleanset SRL are payable within fifteen (15) calendar days from the invoice date, unless otherwise agreed in writing.

Any invoice must be disputed in writing with reasons within eight (8) calendar days of its date. Failing this, the invoice will be deemed definitively accepted.

In the event of non-payment at the due date, the following shall be automatically due without prior notice:

    •       late payment interest in accordance with the Belgian law of 2 August 2002;

    •       a fixed indemnity of fifteen percent (15%) with a minimum of one hundred and fifty euros (EUR 150);

    •       as well as all administrative, legal or recovery costs.

Non-payment of a single invoice automatically results in: immediate enforceability of all outstanding invoices, immediate suspension of services, refusal of any new intervention, and the possibility of termination at the Client's exclusive fault.

    Art. 6. — PRICE REVISION

Cleanset SRL reserves the right to adjust its rates based on: wage indexations, cost increases, inflation, increased social charges or changes in execution conditions.

Any price revision will be communicated to the Client in writing with a minimum of thirty (30) days' notice. In the absence of written objection within this period, the new price will be deemed accepted.

Art. 7. — BEST EFFORTS OBLIGATION

Cleanset SRL is bound by a best efforts obligation and not an obligation of result.

Services will be performed in accordance with reasonably applicable professional standards in the professional cleaning sector, taking into account: actual site conditions, intervention time, agreed frequency, available resources and normal operational constraints.

    Art. 8. — SUBCONTRACTING

Cleanset SRL acts as main contractor and reserves the right to use subcontractors for the performance of services.

Cleanset SRL remains solely contractually liable to the Client, regardless of the use of subcontractors.

The Client may not establish a direct contractual relationship with Cleanset SRL's subcontractors without prior written consent.

Article 20 (Non-solicitation) applies in full to all employees and subcontractors of Cleanset SRL.

    Art. 9. — TARGETED SERVICES

In addition to periodic maintenance, Cleanset SRL offers targeted services including:

    •       Deep Cleaning — thorough cleaning of hard-to-reach areas and high-use zones

    •       Window Cleaning — interior and/or exterior

    •       Floor Maintenance — cleaning, treatment and maintenance of all floor types

    •       Pest Control — performed by specialised partners

Each targeted service is the subject of a separate quote and site assessment.

For window cleaning at height and pest control, specific safety and liability rules apply, as specified in the relevant quote.

For pest control, Cleanset SRL acts as coordinator. Cleanset SRL is not liable for shortcomings of the specialised partner but commits to engaging a reliable partner and overseeing coordination.

    Art. 10. — CLIENT OBLIGATIONS

The Client undertakes to: provide access to the premises at agreed times, guarantee safe working conditions, communicate all relevant information (hazardous substances, alarm systems, specific requirements) and actively cooperate.

Any intervention made impossible for a reason attributable to the Client remains fully billable.

Any time lost caused by the Client may be charged at the applicable hourly rate.

Art. 11. — KEY AND ACCESS MANAGEMENT

Upon handover of keys, badges or access codes, Cleanset SRL produces an acknowledgement of receipt signed by both parties.

Cleanset SRL undertakes to keep access means with due care and to use them exclusively for the performance of agreed services.

In the event of loss or damage to access means attributable to Cleanset SRL, replacement costs are borne by Cleanset SRL, limited to actual replacement costs and capped at five hundred euros (EUR 500) per incident.

The Client remains responsible for the proper functioning of provided access means.

Art. 12. — EQUIPMENT, PRODUCTS AND MATERIALS

Equipment, products and materials provided by Cleanset SRL remain its exclusive property. The Client may not use them without prior written authorisation.

Any loss, damage, theft or misuse will be entirely at the Client's expense.

If the Client provides their own cleaning products or machines, Cleanset SRL is not liable for damage to or caused by such equipment, unless proven gross negligence by Cleanset SRL.

Art. 13. — COMPLAINTS AND ACCEPTANCE OF SERVICES

Any complaint must be submitted in writing within forty-eight (48) hours of the intervention, stating specific grievances and supported by evidence (photos, description).

Failing this, services will be deemed definitively accepted.

Photos taken several hours after the intervention or after the premises have been used by third parties cannot automatically be considered representative of the condition left by Cleanset SRL.

Art. 14. — PHOTOS AND DIGITAL EVIDENCE

Cleanset SRL may take photos for operational and evidentiary purposes, before and after the intervention.

Emails, reports, electronic schedules, time-tracking systems and digital communications shall have full evidentiary value.

    Art. 15. — LIABILITY

Cleanset SRL holds professional liability insurance covering direct damage within the limits of the subscribed policy.

Any claim must be submitted within forty-eight (48) hours of damage discovery.

Cleanset SRL's total liability shall never exceed the amount invoiced for the relevant month.

Cleanset SRL shall never be liable for indirect damage, loss of profits or damage caused by third parties.

    Art. 16. — FORCE MAJEURE

Cleanset SRL cannot be held liable in cases of force majeure, including: illness, strike, accident, breakdown, weather conditions, government measures or unforeseen circumstances beyond its control.

    Art. 17. — UNPLANNED INTERVENTIONS

Urgent, exceptional interventions or services during weekends or public holidays may be subject to additional charges in accordance with Cleanset SRL's applicable rates.

Art. 18. — EXCEPTIONAL SOILING AND DANGEROUS CONDITIONS

Any exceptional situation, construction work, mould, biological waste or abnormal soiling may be subject to additional invoicing.

Cleanset SRL may immediately interrupt services if working conditions are dangerous, unhealthy or unsafe, without any liability for the consequences of such interruption.

    Art. 19. — STAFF ORGANISATION

Cleanset SRL retains full freedom to organise its staff, subcontractors and internal scheduling.

    Art. 20. — NON-SOLICITATION

The Client undertakes not to hire, directly or indirectly, the employees, self-employed persons or subcontractors of Cleanset SRL during the contract and for twelve (12) months after its termination.

This prohibition also covers any indirect collaboration through a third-party company.

Any breach will give rise to a fixed indemnity of fifteen thousand euros (EUR 15,000) per person concerned.

Art. 21. — GDPR AND DATA

Personal data will be processed in accordance with the GDPR and applicable legislation.

Cleanset SRL processes personal data solely for the purpose of performing the contract and does not share it with third parties without the Client's consent, except where legally required.

Where services are performed in an environment giving access to third-party personal data, Cleanset SRL takes the necessary confidentiality measures and may, upon request, enter into a data processing agreement.

Art. 22. — SPECIAL PROVISIONS FOR PROPERTY MANAGERS AND CO-OWNERSHIPS

Where the contract is entered into with a property manager (syndic) on behalf of an association of co-owners, the property manager acts as agent of the association.

The property manager warrants that they hold the necessary authority from the association to enter into this contract.

Invoices are addressed to the association or the property manager in accordance with agreed arrangements.

The periodic frequency (weekly or fortnightly) is set out in the quote and is binding on both parties.

Art. 23. — SPECIAL PROVISIONS FOR B2C (PRIVATE CLIENTS)

The following provisions apply where the Client is a consumer within the meaning of the Belgian Code of Economic Law (CEL):

    •       The consumer has a right of withdrawal of fourteen (14) calendar days from the conclusion of the distance contract, unless performance has already commenced with the consumer's express consent.

    •       Cleanset SRL provides all legally required pre-contractual information prior to conclusion of the contract.

    •       In the event of conflict between these general terms and mandatory consumer protection provisions, the statutory provisions prevail.

This section applies exclusively to consumers. B2B clients are not subject to this regime.

Art. 24. — GOOD FAITH AND PROPORTIONALITY

The parties undertake to address operational difficulties in a proportionate, constructive and good faith manner before taking any contractual termination measures.

The Client undertakes to reasonably mitigate their loss and to allow Cleanset SRL to remedy any difficulties before engaging a third party.

Art. 25. — GOVERNING LAW AND JURISDICTION

These terms and conditions are exclusively governed by Belgian law.

In the event of a dispute, only the courts of the judicial district of Brussels shall have jurisdiction.
